Acceptance
All orders are subject to Seller’s acceptance.

Price Terms
Prices are Seller’s prices, in effect, at time order is accepted. All prices are subject to change without notice and are subject to applicable taxes. All invoices subject to 1%-10 days from date of shipment and net 30 days. Any invoice paid 30 days after shipment date subject to a charge of 1-1/2% per month on outstanding balance due. All new accounts C.O.D. until credit is approved. A credit hold is put on any account that has a 60 day or more balance. Orders cannot be shipped until the account is brought into a current status.

Delivery
All shipments F.O.B. Mill. Delivery charges can be prepaid by special arrangement at time order is quoted. Minimum billing for local deliveries is $30.00. Sales at factory have no minimums.

Title, Risk or Loss
Title of product and risk of loss, pass to Buyer upon delivery by Seller to carrier.

Claims
Notice of claims for non-conforming products, shortages or non-delivery shall be given in writing within 15 days from delivery date. Failure on the part of the purchaser to give written notice within the 15 day period to the Seller constitutes unquestionable acceptance of products and the Buyer waives all claims in respect to said products.

Returns
No merchandise is to be returned without first obtaining an authorization from Clear View Bag Co., Inc. Please advise of invoice number, invoice date and reason for your return. There will be 20% restocking charge on all returned products when error is not the fault of Clear View Bag. All returned merchandise must be shipped freight prepaid.

Cancellation
Cancellations or modification of orders will not be accepted by Seller with respect to products already manufactured or in the process of manufacture, and Buyer shall reimburse Seller for all costs incurred by the Seller in the preparation for manufacture.

Suspension of Performance
Seller reserves the right at anytime to suspend credit or change credit terms, when in Seller’s opinion Buyer’s financial condition warrants. The Seller will give prior written notice of any change in credit terms. Seller may withhold all subsequent deliveries upon failure of Buyer to pay invoices when due. Buyer shall be liable for all costs and expenses of collection incurred by Seller.

Controlling Provision
This instrument contains all terms and conditions with respect to the sales and purchase of the products and supersedes any other writing Buyer may have given or received, and the right of the parties shall be governed exclusively by the terms hereof. This instrument shall be governed by, and construed and enforced in accordance with the laws of the State of New York and the State of North Carolina. Any proceeding in connection herewith shall be brought in a court whose jurisdiction the parties hereto submit. Buyer hereby waives trial by jury in any enforcement action brought by the Seller. Any matter affecting the relationship between the Seller and Buyer not addressed by these terms and conditions shall be governed by the Universal Commercial Code in effect in New York State and/or North Carolina.

Having no control over the use of our products, we assume no liability connected with their uses. Under no circumstances are we, or the seller, liable for any loss, damage, or expenses of any kind arising out of the use or inability to use our products.
